Board Meeting of the Church of All Worlds
1/28/2006

Present: Oberon Zell, Morning Glory Zell, Jack Cain, Tamar Kaye, Tim Emert, Arthur Goheen, Jeanne Koelle, Cougar & Tana

We met at 795 Helman Lane, Cotati, CA 94931

Meeting started at 1:30pm

We began the meeting with inspiring words from our founder, Oberon Zell, and a sharing of water and new hope for the resurrection of the Church like the Phoenix from the ashes.

We have three Boards present at this meeting The Board of C.A.W., The B.O.D. of the Elliptical Congregation, & the B.O.D. of The Friends Of Annwfn.

The Elliptical Congregation has incorporated separately from its mother organization, C.A.W., and is organized for the care of Annwfn, a 55-acre parcel held as Sanctuary on Greenfield Ranch, Redwood Valley, CA since 1978.

The Friends of Annwfn has also been established to care for Annwfn.

The Church of All Worlds will be able to refocus on its work as a facilitator of events and other related activities of being a Church. We will all continue to work together in mutual benefit for the care and fostering of our Pagan community.

It is agreed that Annwfn is a Sanctuary to be treasured, not an asset to be mortgaged. The use of Annwfn and the privilege to support the Sanctuary is one benefit to membership in C.A.W. and F.O.A./E.C.

Annwfn is the oldest collectively owned Pagan Sanctuary.

C.A.W. memberships were all cancelled in 2004 by action of the B.O.D. in Ohio. We are establishing a new membership entirely.

Morning Glory proposes:
That this body ratify the election held on May 1st, 2005 at Annwfn on Greenfield Ranch. That body elected Oberon Zell as President, Morning Glory Zell as Vice President and Jack Cain as Treasurer
Jack seconds; Motion carries

An addendum proposal elects Tamar Kaye as Secretary and Tim Emert as Member-at-Large
Oberon seconds; Motion carries.

Morning Glory Proposes:
An Annual General Meeting for C.A.W. be held at Annwfn Friday May 5th.
Oberon Seconds; Motion carries.

(The Main Ranch Road is currently washed out between Annwfn and the Green gate. People can drive through the Ranch via Orr Springs Rd. Or with a 4x4, on a dry day drive up Fluffy. By May this could change.)

Morning Glory Proposes:
Oberon and Morning Glory Zell be empowered by this Board to open those bank accounts that may be needed to conduct the business of the Church of All Worlds. To be opened at the Bank of the West, with an accounting period that starts January 1st and ends on December 31st.
Jack seconds; Motion carries

Morning Glory Proposes:
A new membership form be created. Also to empower the B.O.D. to conduct any other business in connection to gathering Memberships for C.A.W.
Jack seconds; Motion carries

On the question of debt left by the C.A.W. B.O.D. from Ohio was raised; a discussion followed:

No accounting from the last sales of the Green Egg has been returned, though it has been requested.
It is clear the people in Ohio mismanaged the Church of All Worlds. We feel there is serious wrongdoing that has happened under their control.
Jeanne has a judgment with the labor commission against the Green Egg, that they willfully broke a contract.
Many people were “burned” by the Church of All Worlds; even Oberon had a contract that was not honored.
What happened in Ohio is disturbing. The B.O.D. had no right to vote themselves salaries or seize assets to gain profit (as they have written they wished to do with Annwfn).
Now, we have an opportunity to learn from the mistakes of the past and be better then ever, as a Church.

Morning Glory Proposes:
That a formal censure of those who mishandled funds and or place of power be set forth.
Tamar seconds; Motion carries.

Morning Glory also Proposes:
In an attempt to have resolution/restitutions, letters of apology be sent to those that have been wronged.
Jack seconds; Motion carries.

Break 3:00-3:30

A discussion of the website is held.
Tamar proposes:
Oberon write to the webmaster to update the C.A.W. website with current B.O.D..
Tim seconds; Motion carries.

Oberon proposes:
That we contract with Brian Ewing for Primary legal Service
M.G. seconds; Motion carries.

We discussed the upcoming trial for the Easement to Annwfn on Feb 3rd. Our neighbors are challenging our existence as a Church. This is a frivolous motion as they are not members and cannot challenge anything about our goings-on.

The trial for the easement is on Feb. 6, 2006. We hope for a positive outcome as we have used this, our only safe access, since 1980, when Gwydion, with Church of All Worlds funds, paid George Poore to complete the road we use today.

Next Board Meeting is scheduled for March 12, 2006.

Meeting adjourned 4:30pm

Respectfully submitted,
Tamar Kaye, Secretary
Church of All Worlds
